Starting a Business in Spain: 7 Practical Steps for Foreign Entrepreneurs
Establishing a business in Spain is easier to plan when you understand the corporate and administrative steps. The following overview focuses on common requirements for international founders; the sequence and applicable procedures depend on the chosen business structure and circumstances.
- Choose your business structure. Consider whether to operate as a self-employed individual (autónomo) or incorporate a Spanish limited liability company (S.L.). Liability, tax and compliance implications differ.
- Check identification requirements. Foreign individual founders or directors may need a NIE or other relevant Spanish identification. Foreign corporate shareholders may need a Spanish NIF. Requirements depend on their role and circumstances.
- Reserve the company name and prepare the documents. For an S.L., obtain a company-name certificate and agree the shareholders, share capital, management structure, registered office and articles of association.
- Arrange the capital contribution. Determine how the share capital will be contributed and documented. A bank certificate may be used for cash contributions, but Spanish S.L. incorporation can also use the legally available alternative declaration mechanism, subject to its consequences.
- Sign the incorporation deed before a notary. Execute the public deed of incorporation and provide the relevant identification and beneficial-ownership information.
- Complete tax identification and Commercial Registry steps. Obtain the company’s provisional NIF where applicable, complete the necessary census filings and register the incorporation deed with the relevant Commercial Registry. Obtain or confirm the definitive NIF afterwards as required.
- Prepare to operate. Review applicable tax, Social Security, employment, sector-specific licensing, accounting and ongoing filing obligations before starting the relevant activities. Incorporation alone does not replace these requirements.
